*BEYOND THE MERRIMENT*

Compliments of the Season! It's the last month of 2017. It's a pleasure to see you in good health. Let me share a story of a certain Mr. Akin with you.

*TRUE STORY:*

Mr Akin who was living in Lagos planned to travel to the United States of America. He decided to invest in property in Lekki before leaving. This was in 2001. He contacted a Realtor who showed him some choice locations at N6m/plot.

He promised to pay the following day. The day came, he hesitated. After a week, he called to initiate the transfer and he was shocked to hear that the Estate was sold out.

*LESSON 2:* "The Land you inspected today and planned to pay tomorrow is the same land someone inspected yesterday and planned to pay today."

He ended up buying from another Estate for N2m/plot against the N1.5m, he budgeted for.

*The Significance of a Deed of Assignment*

It is usually the case that the initial document one receives when one buys any article including a piece of land is a Purchase Receipt. For transactions involving land, however, of much importance is a Deed of Assignment. While a Receipt is evidence of some sought of payment, it does not confer title to a land to the holder. A Deed of Assignment, well-prepared and duly registered in the Land Registry, is the first indicia of title.

A Deed of Assignment is a document which shows that the assignor (seller) has transferred his whole interest and title in the property to the assignee (the buyer). It is of utmost importance as it contains details of:

- the parties to the transaction i.e. the vendor and the buyer;

-the addresses (or place of business) of the parties;

- the date of the transaction;

-covenants binding the successors of the original parties;

-the history of the land;

-the cost of the land and acceptance of price by the vendor;

-the size and other descriptions of the land;

-the promises made by each party as conditions for the transfer of title;

-the signature of the parties as well as signatures of witnesses;

- the section for Governor's consent.

All these are evidently always absent in a Receipt. Considering the peculiarity of land transactions, one should always insist on a Deed of Assignment, prepared in good time to validate the transaction.

Bode honked for the sixth time in front of the gate of his house. The security guard must have gone to gist with Iyabo, the domestic help, as usual, he thought. He had caught them a couple of times lurking behind hidden places and whispering in low tones, but he had pretended not to have noticed.


"Welcome Sir!" shouted Musa, who glanced through the peephole before flinging the gate open. Bode ignored the greeting; his patience having been tested.


"Is madam back and what about the kids?" he enquired.

"They are all upstairs," replied Musa.


Bode stepped into the fully detached duplex standing elegantly in the green boulevard. He paced towards the front porch, recollecting what he went through in the hands of his former Landlord. The man was a shylock and an intruder. He gets on every tenant's nerves and seems not to understand the meaning of privacy. The pugnacious tenants who were always fighting over seemingly unimportant issues, only help to worsen the already bad situation. How quickly one's fortunes can change for good! Everywhere seems quiet and peaceful. He felt a sense of relief and freedom.


The aroma of fried plaintain tortured his nostrils. Victoria, my wife, must be performing wonders in the kitchen, he thought. He remembered he skipped lunch, no thanks to the series of management meetings at the office. His stomach rumbled. He increased his pace to the front door.


He turned the knob of the door but it didn't open. It seems the door has been fastened from inside. He tried a second time with no luck. He continued to struggle with it. 

He opened his eyes to see his wife starring at him. She has been calling his name repeatedly. She needed money. He regained consciousness. It was a Sunday evening and he had just dreamt of what he prayed for earlier in the day in Church. He sighed!

"I had the money to buy land in the choicest location, but I was more interested in partying, and spending money on frivolities."

By January 2017, after they broke up, he decided to sell the house. A quick calculation shows that after 6 years fling with the lady, he spent a total sum of N36 million on her monthly allowance. Added with the N75 million cost of the mansion, this amounts to N111 million. He sold the house for N225 million, which means he made a net profit of N114 million.

When his wife found out about this, she was mad and yelled at him, "BLOODY IDIOT!!!
Why didn't you keep two mistresses? By now, we would have made a profit of N228 million."

THE PURCHASE OF FAMILY LAND: A DANGEROUS GAMBIT.

A unique feature of customary law is the concept of Family Land. So called, these are lands vested on the whole members of the family as a corporate entity with each member having a protected interest. In this setting, the control and management of such land is vested on the family head. As a general rule, the family head administers the land in conjunction with the principal members of the family. It follows that ownership of such land is joint and indivisible. In the light of this, in order to accommodate the right of a large traditional family, several principles have been prescribed by Law to regulate the transfer of such family properties.

Under most customs, the family head is usually the eldest surviving child in the family. The principal members, on the other hand, are constituted from the branches existing in the family. Where, for instance, a man marries four wives, the eldest child of each wife is automatically a principal member. On the other hand, where the marriage is monogamous, every child of the wife is considered a principal member.

The rules guiding the sale of family lands are simple, nevertheless, they can pose grave dangers to an uninformed purchaser:
To start with, a sale by any of the principal member(s) without the requisite consent and concurrence of the family head is void ab initio. Such sale is a nullity and transfers no title to a buyer. The effect of this being that whosoever buys such a land acquires nothing and the property reverts back to the family. This follows the time-tested principle of Nemo dat quod non habet- no one can give what he does not have.

Also, a unilateral sale of family property by the family head without the consent of the principal members passes a voidable title which can be set aside at the instance of the non-consenting members of the family. The effect of this is that the purchaser can continue to enjoy title in the property until any of the members avoid the sale - set it aside and claim repossession of the property. The purchase of such land is akin to playing dice with one's money. Of course, the non-consenting member can subsequently ratify the sale by collecting his/her own share of the proceeds. More often than not, however, such member is always instigated to avoid it.

A final rule is that where the family head represents himself as the sole and beneficial owner of the property to the purchaser, such sale will not be voidable but void. Whosoever purchase such land can as well set his money on fire.

From the foregoing, It is evident that due diligence must be exercised where one intends to buy a land. An unwary purchaser who buys a family land without thorough investigation of the status of the seller(s) (as to whether or not they are persons recognised by Law, i.e. family head and the constituent principal members) has succeeded in buying a lawsuit which he may eventually lose.
